Terms of Service

1. Acceptance of Terms
By accessing or using Gymsync (the “Service”), operated by C.Green Holdings LLC (“we”, “us”), you agree to be bound by these Terms.
2. Service description
Gymsync is a software platform for gym owners and operators to manage members, classes, payments, and communications. We provide the platform; you provide the content and conduct your business.
3. Subscription + billing
Paid plans are billed monthly via Stripe. You authorize us to charge the payment method on file. Subscriptions auto-renew until canceled. You can cancel anytime from /dashboard/account; access continues through the end of the billing period. We do not offer refunds for partial months.
One-time setup fees are non-refundable once paid.
4. Payments + chargebacks
When your members pay through Gymsync (via Stripe Connect), the member pays a service fee at checkout that covers payment processing — 7.77% + $2.22 on transactions $20 and up, $1.40 flat on smaller charges. The gym receives the full listed price. You are responsible for chargebacks and disputes initiated by your members. Repeated chargebacks may result in account suspension.
5. Acceptable use
You agree not to: (a) use the Service for unlawful purposes; (b) reverse-engineer the Service; (c) abuse the API or exceed published rate limits; (d) misrepresent your gym to members; (e) use the Service to send spam.
6. Member data + your obligations
Your members' data belongs to your gym. You are responsible for collecting it lawfully (including waivers, consent, and data-protection compliance in your jurisdiction). Gymsync acts as a processor, not a controller, of member data.
7. Termination
We may suspend or terminate accounts that breach these Terms, cause excessive disputes, or remain inactive for 90+ days after cancellation. Your data is exportable before deletion via /dashboard/account → Export.
8. Liability + warranties
The Service is provided “as is”. To the fullest extent permitted by law, our aggregate liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim. We disclaim all implied warranties, including merchantability and fitness for a particular purpose.
9. Platform Administration Access
GymSync platform administrators may access your gym's account data to provide support, troubleshoot operational issues, respond to lawful subpoenas, and improve the platform. All such access is logged with a documented reason, attributable to the specific administrator, and visible to your gym's owner via /dashboard/account/admin-access-log.
By using GymSync, you consent to this access for the operational purposes described. You may request a complete log of platform admin access at any time by emailing support@gymsync.co.
Platform administrators do not access individual member-level data (member chats, profile details, payment cards) except in the course of resolving a specific support ticket where required. When such access is necessary, the impersonation session reason captures the specific support context.
10. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated via email at least 30 days in advance.
